Buyer of a Meerut sports goods manufacturer identifies a pending ₹3 Cr trademark infringement suit during diligence and negotiates a specific, uncapped indemnity covering that exact litigation — refusing to let it fall within the general 15%-of-price warranty cap, which would otherwise dilute the buyer's recovery if other claims arise later.
